What is Search123?
Search123 is the search engine services division of ValueClick US Media, part of ValueClick, Inc. [NASDAQ: VCLK]. We operate our own pay-per-click (PPC) search engine, launched in October 2000, and we provide comprehensive search engine marketing (SEM) solutions for search marketers. Our PPC search engine allows advertisers to bid on keywords for positioning within search results and receive targeted clicks from our network of hundreds of quality Search Publisher Programs. Advertisers use our simple, self-service interface to create site titles and descriptions, bid on keywords and manage every aspect of their Search123 account.

The Search123 Search Publisher Program allows qualified content sites, directories and search engines to distribute Search123's advertiser listings. Partners implement Search123's search functionality using one of our implementation kits and share in the click-through revenue generated by visitors that use the search functionality and click on Search123's paid listings.

While we do not make that information specifically available, our network is made up of hundreds of high-quality content sites, directories and search engines that generate hundreds of millions of searches and millions of qualified clicks to our advertisers each month.

Where do Search123 listings appear?
Search123 listings are distributed across hundreds of high-quality small and medium-sized content sites, directories and search engines. Search123 does not get a significant amount of distribution from any of the highly-competitive and expensive portals powered by Overture and Google. Most of our advertisers already advertise on the larger paid search platforms and use Search123 as an incremental source of lower cost, high-quality traffic that allows them to improve their overall return-on-investment (ROI) from pay-per-click search marketing. How does your program compare with some of the other search syndication programs?
Many pay-per-click search platforms offer the ability to syndicate their results in order to generate revenue. While their requirements may differ, you will find that the basic business terms- including the payout percentage on valid clicks, click screening procedures, and the payment cycle- are generally consistent across the more significant search engines. What are the general requirements for participating in the program?
The program is restricted to web properties that meet our overall website quality and content standards, have a domestic user-base with appropriate consumer demographics, and can meet our ongoing traffic quality standards. Do you have minimum search volume requirements?
No. However, in order to qualify for some of our more customized implementations, you must reach certain search volume and traffic quality thresholds.

What are your general traffic quality requirements?
We allow only user-generated searches, clicks on approved text links, and clicks on contextual placement of targeted ads. We do not allow any form of incentivized traffic. We validate every query and every click processed by our systems, by Search Publisher Program.

Do you accept foreign traffic?
We only accept traffic from English-speaking countries, including the United States, Canada, the United Kingdom and several other countries. We do not charge our advertisers, or pay our Search Publisher Programs, for any non-English speaking traffic from countries that are not accepted. How many advertisers or listings do you have?
We do not make this information specifically available. However, since our inception in October 2000, we have developed relationships with thousands of online advertisers, advertising agencies, search engine marketing firms and have feed relationships with many of the best pay-per-click search engine networks. In addition, certain implementations will qualify for organic listings powered by Teoma, a leading crawling engine operated by AskJeeves. As such, we have significant breadth and depth of keyword coverage across all commercial and non-commercial queries.

Our Search Publisher Programs are paid 50% of the bid amount on all valid, approved clicks delivered to our listings.

We pay our partners once they earn a minimum of $50. No payment will be made until that amount is reached.

When do you pay your partners?
Payments are made on a Net-30 basis. Checks are generally mailed from our Westlake Village, CA office within the first 5-days of each month.

Yes. You must make arrangements in advance. All applicable third party fees will be deducted from the Search Publisher Program's account.

Will my payment differ from the amount shown on the online reports?
Generally, the amount reflected on the online report will be the amount that you are paid. In some circumstances, this amount may be modified following the close of the month as a result of credits issued to advertisers. In some cases, a payment will be held pending the resolution of a click-quality investigation.

Do you ever withhold payments to partners?
We continuously monitor the quality of the searches and clicks generated by our partners. Under our Terms and Conditions, we reserve the right to withhold payment pending the resolution of a click-quality investigation.

Yes. We apply our click validation algorithm and review processes on all our search traffic. Partner accounts are only credited for valid clicks.
